Dubai -Chief Counsel - (1909766) Job Overview: McDermott seeks a senior-level attorney to join the Middle East North Africa (“MENA”) area Legal, Compliance and Risk team. The Chief Legal and Compliance Counsel reports to the Senior Director of Legal, Compliance and Risk for MENA and manages other attorneys and non-lawyer professionals to deal with a variety of often complex legal matters. Key Responsibilities/Accountabilities: Providing strategic and commercially-focused legal advice and contributing as a trusted advisor to the business. Promoting a legal and compliance culture that is constructive and pragmatic. Advising on legal and contractual risk associated with our operations in multiple jurisdictions, including Oman, Qatar, Saudi Arabia and the UAE. Reviewing, drafting, qualifying and negotiating customer contracts (e.g., pre-FEED, FEED, EPC/EPCI/EPCM) for both onshore and offshore projects. Our customers tend to be national oil companies and utilities, and major multinational independents in the same space. Contract values can reach into the billions of U.S. Dollars. Leading the development and negotiation of permanent and defined-term business relationships, including mergers, joint ventures, partnerships, alliances, and consortiums. Managing due diligence, agreements and related matters involving local representatives and equity partners. Reviewing, negotiating and drafting various early stage agreements (e.g., NDAs, MOUs). Providing legal advice on all issues arising during the lifetime of a project, including supply-chain contracts, claims, and change order preparation and prosecution. Ensuring compliance with applicable laws and regulations. Advising on legal entity issues. Advising on disputes and managing litigation/arbitration Liaising and collaborating effectively with various Functions and providing day to day guidance and interpretation on legal, compliance, commercial and business risks. Developing and delivering training for employees on contracts and compliance topics. Working with the Compliance Team on investigations into ethics and compliance matters. Working with the Insurance Team on policies and claims. Instructing and managing external counsel engaged on contentious and non-contentious matters. Basic Qualifications: Law degree and admission to the bar in a relevant jurisdiction Minimum 10 years’ relevant legal and compliance experience, preferably in a multinational corporation or a reputable international or regional law firm. Extensive experience of construction and engineering projects in the oil and gas, energy, engineering and construction, or maritime industries. Excellent spoken and written English. Experience advising on establishment, maintenance, and winding-up of businesses entities Experience with mergers and acquisitions, joint ventures and consortium arrangements. Experience managing outside counsel in contentious matters (e.g., litigation, arbitration). Good familiarity with international laws and practices in the compliance space (e.g., anti-bribery/corruption, antitrust/competition, boycotts and sanctions, privacy and data protection). Experience administering compliance programs typical of top-tier publicly-traded multinational corporations A business-practical approach to legal and compliance services, while strictly honoring the stakeholder-as-client duty. Role-appropriate computer skills (e.g., Microsoft Office suite) and willingness to learn new systems and platforms. Equal high effectiveness working within teams or individually Exceptional time management and prioritization skills. Grace under pressure, a sense of humility and a sense of humor. Ability to lawfully live in Dubai - and to travel in the GCC and internationally. Travel may approach 20% of time, but is variable. Desired/Preferred Qualifications: Business proficiency in Arabic language, written and spoken. Law degree from or bar admission in the United States, United Kingdom, Western Europe, or Australia Educational or professional background in engineering, project management, or finance. Experience advising non-U.S. operations of U.S. publicly-traded companies. Experience working with colleagues from other countries, cultures, orientations. GCC experience; preferred candidate is already present in the UAE, although the most highly qualified candidate may qualify for relocation.
