020 - Group Company Secretary - Kentech Group-Dubai

Headquartered in Dubai -, but with operations in some of the most remote places in the world, the group is looking to add a Group Company Secretary to their head office team based in JLT, Dubai -. The job holder will be responsible for company secretarial matters across the Kentech Group globally. The job holder will be responsible for company secretarial matters across the Kentech Group globally. DUTIES AND RESPONSIBILITIES Develop board meeting schedule for the group’s Executive Board and the boards of all group companies and arrange meetings. Liaise with the Chair of the Board and other relevant stakeholders to set board meetings’ agenda. Attend all board meetings (not necessarily physically) and production of meeting minutes. Assistance with incorporating new companies and branches across the world. Maintenance of all core company documentation and timely provision of this to relevant stakeholders upon request. Monitoring licenses and permits to ensure everything is valid, complied with and renewed on a timely basis Maintaining up-to-date powers of attorney for all group companies that enable business to undertake its core activities without delay Work with Public Relations Officer to ensure all documents requiring notarization, certification etc. in the UAE can be processed as efficiently as possible. Develop strong working relationship with DMCC. Maintenance of statutory records, ensuring the timely filing of annual returns, financial statements and statutory returns. Provision of advice on governance. Monitoring changes in relevant legislation and the regulatory environment and ensuring that all entities are compliant with applicable laws/regulations. Company secretarial assistance in respect of corporate restructurings and M&A projects. Ensuring the group has appropriate and adequate insurance policies in place. PERSON SPECIFICATION Desired Skills and Experience Prior experience in a company secretarial role of a firm operating globally. Company secretarial experience in the Middle East, managing powers of attorney, notarization requirements etc. Company secretarial qualification. An interest in improving systems, controls and processes. Bachelor’s Degree / Member of Institute of Chartered Secretaries and Administrators/ relevant qualification A minimum of five years’ experience working in the company secretarial department of a firm operating globally.
