Dubai -Job Description The Legal Director will oversee the legal function in the 5th Region and provide legal support relating to the Company’s 5th Region’s operations including strategic and regional initiatives, commercial transactions and agreements, employment and union matters, compliance training, investigations and other initiatives, crisis management, legal and administrative inquiries, investigations and litigations in the region, and corporate governance and legal entity record-keeping of the 5th Region’s subsidiaries. Role responsibilities Assisting with general corporate matters for all 5th Region’s subsidiaries, including corporate governance matters, legal entity record-keeping, and drafting / reviewing minute books and resolutions. Providing legal advice and counseling on all legal matters in the 5th Region and analyzing, drafting, reviewing and negotiating a wide range of agreements including supply, distribution, agency, vendor, customer, services, finance, real estate, insurance, confidentiality, employee offer /separation and strategic alliance agreements and assisting with human resources and labor matters. Overseeing and provide training on IFF’s corporate compliance programs including the Code of Conduct, Anti-Bribery and Crisis Management. Handling all compliance issues in close cooperation with the Corporate Compliance Function. Representing the Company in legal and administrative inquiries, investigations and litigations and preparing representatives of the Company for court appearances and other meetings when necessary. Working with external counsel on litigation matters including commercial, tax and labor matters. Managing external counsel including negotiating and managing external counsel legal fees to insure efficiencies. Providing assistance with SEC and NYSE reporting obligations, auditor litigation reports, GRA & regulatory issues Job Requirements Required skills Familiarity with the laws of the 5th Region (e.g. Turkey, Africa, India and/or or Middle-East). Experience negotiating and drafting commercial agreements and contracts. Experience managing litigation caseload including labor, tax and commercial claims required. Experience with labor and union matters. Experience dealing with compliance matters and investigations. Experience with environmental matters and government regulation matters. Excellent verbal, written and interpersonal skills and an ability to convey complex legal principles clearly and concisely. Education requirements Law degree from a reputable European, Middle-Eastern, US or LATAM based University. Other graduate degrees a plus. Licensed to practice law in any of the Western-European, Middle-Eastern, US or LATAM jurisdictions. Over 5 years of legal experience preferably both in-house and at a law firm. Fluency in English. Skills in other languages preferred (Arabic, French and/or Spanish). Required background At least 5 years of relevant experience with previous in-house experience. Mature judgment with the ability to build relationships across the entire IFF organization. Pragmatic business acumen with the ability to recognize the business consequences of legal advice. Demonstrative willingness to be a collaborative and consultative team player who possesses an ability to work well both independently and in a team environment. Ability to successfully manage multiple matters and meet deadlines within a changing, fast-paced environment. Strong organizational skills with high level of attention to detail and accuracy. Excellent verbal and written skills and an ability to convey complex legal principles clearly and concisely. High energy and drive, including an ability to work beyond regular business hours, as necessary. Excellent interpersonal/people skills and the ability to interact effectively at all levels of the organization and with outside counsel. Experience handling confidential information with discretion.
