ROLE SUMMARY: The Procurement Governance & Compliance Lead role is a governance and regulatory compliance position focused in risk management sitting within the PSCM function. The position will be responsible for supporting the PSCM function with procurement governance process and vendor risk management program by performing the 3rd party due diligence (3PDD) and ongoing monitoring to ensure vendors comply with governance requirement and 3PDD standards. This position must ensure compliance during the full vendor lifecycle from on-boarding through termination. Shaping and management of vendor contracts will be an important part of this job role. 4. KEY ACCOUNTABILITIES: Description Focal point with the Business Units and Compliance team for the Due Diligence ProcessPrepare mitigation plans for the red flag arising from the 3rd Party Due Diligence (3PDD) in consultation and alignment with Compliance Counsel and Head of Procurement functionAll qualified suppliers have the Due Diligence in placeMonitor compliance to 3PDD requirementsRefresh 3PDD for all suppliers in the 3PDD databaseCoordinate all Contracting Governance Committee (CGC) MeetingsFollow up on actions arising from Contracting Governance decisions Key Performance Indicators Ensure all the requests from the Business Units for the 3PDD are processed in the system in timely mannerBusiness Units requestors are kept informed about the progress of the DD process and the outcomes of the DD assessmentAll red flags are communicated to Compliance and Ethics and appropriate approvals are obtainedMitigations plans are prepared and agreed with various stakeholdersMitigations are approved by the relevant approversFollow-up on the implementation of mitigating measuresConducting of spot-checks across Business Units to assess the value of the 3PDD programmeEnsure the 3PDD is conducted to all selected suppliers and deviations are documented and approved accordingly.Ensure compliance to 3PDD Procedure and Process3PDD is refreshed as per the 3PDD Procedure on timely manner;Suggestions and proposals to the Head of Procurement and to Compliance for the improvement of the programmeCGC meetings are coordinated and take whenever are required.CGC decisions are communicated to the BUsActions are closed on time KEY RESPONSBILITIES 3rd Party Due Diligence:  Be responsible for 3rd Party Due Diligence (3PDD) process in, across all Business Units, ensuring appropriate stakeholders are engaged and aligned.  Ensure the 3PDD process is being followed in contracting process.  Communicates and rolls out the 3PDD process to the Business Units and to the vendors.  Serves as subject matter experts on questions of methodology and process. Consult on strategy issues with the Head of Procurement and with Compliance.  Makes any necessary updates and/or recommend the necessary changes to the 3PDD process.  Develops and delivers 3PDD process training for practitioners and provides on-going coaching.  Ensures that the 3PDD process is compliant with standards and risk management requirements established  Prepare a compliance agenda at group level, influencing implementation of High Risk Agents process and follow up closure of mitigation actions for High Risk suppliers.  Ensures that the central 3PDD Database located in the approved e-sourcing tool is up-to-date with relevant 3PDD information. Ensure back-up plans are in place for the 3PDD database.  Develops and embeds a framework in which to monitor 3PDD activities to ensure that Regions and Business Units are appropriately carrying out 3PDD activities, training requirements are being met, and that the group standards are applied consistently.  Define expectations for Business Units to self-assure 3PDD submissions.  Develops and publishes basic metrics that show the volume of 3PDD activities, including trends or patterns, and how higher risk counterparties are dealt with.  Monitors and ensures closure of Internal Audit actions relating to Anti-Corruption (ABC, AML, Agents).  Be responsible to determine whether to escalate to Ethics & Compliance when a Counterparty is assessed as Medium Risk and for verification of initial High Risk rating.  The 3PDD role is part of the PSCM Corporate organization to perform the role of the 3PDD Lead identified in the Process.  Review and assessment of data provided from vendors for the 3PDD project Procurement Governance  Be accountable to administer the Contracting Governance Committee (CGC) process,  Facilitate the CGC meetings,  Disseminate CGC pre-read documents,  Record decisions of the CGC meeting,  Take minutes of the CGC meetings  Maintain the integrity of the CGC documents. Experience:  Minimum of 5 years of experience in corporate office and knowledge of regulatory compliance process.
